Transfer Information

The Class A Interests (CUSIP Numbers: 00084K104 and U00299104) and Class B Interests (CUSIP Numbers:  00084K112 and U00299112) of ACC Claims Holdings, LLC (the “LLC”) cannot be transferred or resold unless such transfer is effected in accordance with the LLC’s Operating Agreement (as may be amended from time to time).  Any purported transfer of any Class A Interests or Class B Interests in the LLC other than in accordance with the LLC’s Operating Agreement will be null and void in all respects and will not be recognized by the LLC.  In addition, any interests that are permitted to be transferred under the offeror's operating agreement can be transferred only to persons who are qualified purchasers (except to the extent waived by the managing member), excluding benefit plan investors, each of which is (x) a QiB, (y) an institutional accredited investor or (z) not a U.S. person in an offshore transaction, and subject to compliance with securities laws and other applicable laws.
